Companies & Structures

The jurisdiction is only one decision. Ownership, tax treatment, banking, substance and reporting determine whether a structure works.

STRUCTURE WITH PURPOSE

Start with the business, then choose the entity.

SLOGOLD has worked with international and domestic company structures for many years. Today's environment requires more than simply registering a company: the structure must make sense for the activity, owners, banking relationships and compliance obligations.

What should be considered

Jurisdiction

Company law, reputation, treaties, costs, accounting, reporting and the location of customers and management all matter.

Ownership & governance

Shareholders, directors, managers, beneficial ownership reporting and decision-making should be designed deliberately.

Tax & substance

Incorporation does not determine tax treatment by itself. Management, control, business activity and owner residence can all affect the result.

Banking & operations

A company that cannot obtain suitable banking, payment processing or operational support may not be useful regardless of how easy it was to incorporate.

International and domestic structures

Depending on the objective, solutions may include limited companies, LLC-type entities, partnerships, holding structures, foundations, trusts or other vehicles available under local law. We increasingly avoid treating “offshore” as a strategy by itself; the focus is on lawful, transparent structures with a clear commercial or personal purpose.

Compliance first

Corporate, tax, accounting, beneficial-ownership and substance requirements vary widely and change over time. Formation should be coordinated with appropriate legal, tax and accounting advice. SLOGOLD does not promote structures for concealing ownership, evading tax or bypassing reporting obligations.
